Overview:
Excellent opportunity to become part of a dynamic Transaction Management team within Capital Markets as Trustee Transaction Manager for a large NBFI. You will provide be responsible for closing and managing a portfolio of structured finance transactions in conjunction with other teams. Liaising with other transaction teams during the setup of transaction, participating in the setup of the structure, ensuring all obligations/protections are met and reflected in relevant documents. Ongoing administration of the transactions, ensuring the proper discharge of duties and continual delivery of exceptional service.
Responsibilities include:
- Responsibility for a portfolio of deals to include; note trustee, security trustee and security agent services on a wide range of asset classes, including securitisations, structured finance, asset backed finance, debt issuances, aviation transactions and defaults & restructurings.
- Managing the review and comment on a portfolio of mandated transaction documents, ensuring the Trustee is fully protected.
- Engage and liaise with external counsel accordingly regarding transaction documents.
- Continual liaison with external transaction parties to include; client and client counsel, internal teams involved in transaction and Directors regarding any commercial aspects of the transaction.
- Attend client meeting and signings as appropriate.
- Working with trustee teams to manage deal signings and closings.
- Closed Transactions to include;
- Working through waivers and amendments with all parties involved, and engaging counsel for the Trustee accordingly.
- Managing any defaults and/or restructuring of existing transactions, ensuring that trustee is protected and the duties to the bondholders and/or investors are upheld.
- Record time spent on relevant activities for client billing purposes.
- Review invoices in accordance with fee letters.
- Ascertain all relevant trustee covenants, obligations and transaction details are entered into the database and in accordance with company procedures.
- Dealing with ad hoc transaction enquiries/correspondence on closed transactions.
- Recording time spent on activities for client billing purposes.
- Reviewing invoices in accordance with fee letters and assist with financial control.
- Assisting the Business Development team and contributing towards business development and marketing objectives by:
- Assisting team with pricing and initial quotes for relevant transactions
- Becoming recognised in the market as a Trustee subject matter expert, attending market events and conferences.
- Building relationships with associates, and partners at large and mid-market law firms.
- Organising post deal marketing reviews and meetings with clients.
- Managing details of working party lists, transaction parties and regular contacts database.
Skills/Experience:
- Circa 3 years + experience within a similar role.
- Experienced in reviewing securitisation and structured finance documentation.
- Experience of trustee work is essential.
- Previous experience of defaults and restructuring would be preferable.
- An excellent level of communication skills, both oral and written, and ability to work with all levels, both internally and externally.
- The ability to balance competing priorities and meet deadlines whilst managing a demanding workload.
- A demonstrable ability to understand, consider and discuss complex securitisation and structured transactions.
- The ability to work independently, and to work effectively as part of a team, both within your team and in a multi-disciplinary setting.
